1. Introduction & Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Buzzably Limited, a company incorporated in Hong Kong SAR ("Buzzably", "we", "us", or "our"). By accessing or using the Buzzably platform, including any associated websites, applications, APIs, and services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

We reserve the right to modify these Terms at any time. We will provide at least thirty (30) days' prior notice of any material changes via email to the address associated with your account and/or through a prominent notification on the Platform. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform before they take effect.

2. Definitions

The following definitions apply throughout these Terms:

• "Platform" means the Buzzably web application, including all features, tools, APIs, and services accessible at buzzab.ly and any associated subdomains.
• "Creator" means any registered User who has been granted or has activated publishing capability on the Platform, enabling them to create, publish, and monetise content.
• "Subscriber" means any User who maintains a paid subscription to access one or more Creators' premium content through a Creator Subscription Group.
• "Content" means any text, images, media, data, or other materials created, uploaded, published, or otherwise made available by a User through the Platform.
• "AI Services" means the suite of artificial intelligence features provided by the Platform, including but not limited to: AI Draft Assistant (multi-step content generation), Voice DNA (writing style fingerprinting), Editorial Personas (AI voice profiles), and autonomous agents (scheduled or webhook-triggered content generation).
• "BSG" or "Creator Subscription Group" means the tiered subscription model (Bronze, Silver, Gold) that a Creator may configure to offer paid access to their premium content.
• "Buzz Budget" means the dollar-denominated AI compute allocation assigned to a User's account, which tracks and limits the consumption of AI Services based on the User's subscription tier.
• "Trust Score" means the display-only content quality signal computed by the Platform's trust engine. Trust Scores are informational indicators and are never used for ranking, promotion, or algorithmic recommendation.

3. Eligibility & Age Requirements

You must be at least eighteen (18) years of age to access or use the Platform. By creating an account and using the Platform, you represent and warrant that you are at least 18 years old and possess the legal capacity to enter into these Terms.

This age requirement is mandated by the nature of the Platform's services, which include financial market content, payment processing via Stripe, and the potential for monetary transactions. Users who are found to have misrepresented their age will have their accounts immediately terminated without notice.

4. Account Registration & Security

To access certain features of the Platform, you must register for an account by providing a valid email address and completing email verification. You agree to provide accurate, current, and complete information during the registration process and to keep your account details up to date.

Identity verification via Stripe Identity is available for Users on Pro and Enterprise subscription tiers. Each verification attempt incurs a fee of $1.50 USD, with a maximum of three (3) lifetime verification attempts per account. Verified accounts receive a visual indicator on their profile.

Users may operate under pseudonyms; however, impersonation of any individual, entity, or organisation is strictly prohibited. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at legal@buzzab.ly if you suspect any unauthorised access to or use of your account.

5. Platform Subscription Tiers

The Platform offers the following subscription tiers, each providing access to different features and metered quotas for Editorial Personas, media uploads, and AI token allocations:

• Free ($0/month) — Basic access with limited AI capabilities and restricted publishing features.
• Pro ($9.99/month or $99/year) — Enhanced AI model access, increased quotas, identity verification eligibility, and creator monetisation tools.
• Premium ($24.99/month or $249/year) — Full access to reasoning AI models, maximum quotas, priority support, and advanced analytics.
• Enterprise (Custom Pricing) — Tailored solutions with dedicated support, custom integrations, BYOK API keys, and bespoke SLAs.

Cancellation of any paid subscription will stop automatic renewal at the end of the current billing period. You will retain access to paid features until the end of the period for which you have already paid. No pro-rata refunds are issued for partial billing periods. Upgrades take effect immediately with a pro-rated charge. Downgrades are deferred to the end of the current billing period to prevent service disruption. Any announced price increases will be grandfathered for existing subscribers until their next renewal date.

6. Creator Monetisation & Payouts

Creators may monetise their content by configuring Creator Subscription Groups (BSG) with up to three tiers: Bronze, Silver, and Gold. Each tier allows the Creator to set a recurring subscription price, subject to a minimum tier price of $4.99 USD per month.

All payment processing is handled through Stripe Connect (Express accounts). Buzzably Limited collects a platform commission on each transaction via Stripe's application_fee_percent mechanism. The applicable commission rate is disclosed to Creators during onboarding and in the Creator Dashboard.

Upon account closure or deactivation, a mandatory thirty (30) day holding period applies before final payouts are disbursed. This holding period allows for the resolution of any pending disputes, chargebacks, or refund requests. Subscribers may request a refund for their current billing period in accordance with our refund policy.

7. AI-Generated Content & Services

The Platform provides AI Services designed to assist Creators in content production. These services include:

• AI Draft Assistant — A multi-step content generation tool that produces draft articles, summaries, and analyses based on Creator-provided prompts and parameters.
• Voice DNA — A writing style fingerprinting system that analyses and replicates a Creator's unique tone, vocabulary, and stylistic preferences.
• Editorial Personas — Configurable AI voice profiles that allow Creators to maintain consistent editorial identities across their content.
• Autonomous Agents — Scheduled or webhook-triggered content generation workflows that operate on behalf of the Creator according to predefined rules and parameters.

AI model routing varies by subscription tier: Free tier Users receive access to GPT-4o-mini, Pro tier Users receive access to GPT-4o, and Premium tier Users receive access to advanced reasoning models. Enterprise Users may configure Bring Your Own Key (BYOK) API keys for custom model access. Buzz Budget tracks and limits AI compute spend per billing period.

All AI Services are strictly assistive in nature. AI-generated outputs require human review, editing, and approval before publication. Buzzably Limited is not liable for the accuracy, completeness, or suitability of any AI-generated content. The Creator assumes full responsibility for all content they choose to publish, regardless of whether it was generated with AI assistance.

8. Non-Advisory Disclaimer

The Platform is structurally non-advisory. Buzzably Limited does not provide, and the Platform is not designed to provide, personalised financial recommendations, investment predictions, market forecasts, or endorsements of any financial instrument, asset class, or trading strategy.

All Content published on the Platform, whether created by Users or generated with AI assistance, is provided for informational and educational purposes only and does not constitute financial advice, investment advice, tax advice, legal advice, or any other form of professional advice. Mandatory disclaimers are appended to all published Content to reinforce this principle.

Users should always conduct their own independent research and seek the advice of qualified professionals before making any financial decisions. Buzzably Limited disclaims all liability for any losses, damages, or adverse consequences arising from reliance on Content published through the Platform.

9. Content Ownership & Licence

Users retain full ownership of all Content they create and publish on the Platform. By publishing Content, you grant Buzzably Limited a non-exclusive, royalty-free, worldwide licence to host, store, display, reproduce, and distribute your Content solely for the purpose of operating and providing the Platform's services and delivering your Content to its intended audience.Buzzably Limited will not sell, sublicense, or otherwise commercially exploit your Content to third parties. This licence terminates when your Content is removed from the Platform, subject to reasonable technical delays and the retention of audit copies as required by law.

Published Content may be edited within a sixty (60) minute window following initial publication. After this window, edits create a new version. All Content versions are immutably stored for audit and integrity purposes. Content progresses through the following states: Draft → Published → Unlisted → Removed. Removed Content is retained in an audit-accessible format but is no longer publicly visible.

10. Chronological Feed & Discovery

The Platform delivers Content through a strictly non-algorithmic, chronological feed. Posts appear in reverse chronological order based on publication time. There is no engagement-based ranking, no algorithmic amplification, no hidden virality boosting, and no opaque recommendation engine.

Trust Scores, while visible on Creator profiles and Content, are strictly display-only indicators of content quality and consistency. Trust Scores are never used for ranking, promotion, suppression, or any form of algorithmic recommendation. This commitment to transparency ensures that all Creators receive equal opportunity for discovery based solely on their publication activity and their followers' choices.

11. User Conduct & Prohibited Activities

You agree to use the Platform in compliance with all applicable laws and regulations and in accordance with these Terms. The following activities are strictly prohibited:

• Impersonating any person, entity, or organisation, or falsely stating or misrepresenting your affiliation with any person or entity.
• Distributing spam, unsolicited commercial messages, or bulk automated communications.
• Deploying bots, automated scripts, or other programmatic tools to interact with the Platform in ways that circumvent rate limits or abuse AI Services.
• Publishing content intended to manipulate financial markets, including but not limited to pump-and-dump schemes, coordinated trading campaigns, or false rumours.
• Infringing upon the intellectual property rights, copyrights, trademarks, or trade secrets of any third party.
• Engaging in harassment, threats, hate speech, or any conduct intended to intimidate, bully, or harm other Users.
• Attempting to game, manipulate, or exploit Platform features, including Trust Scores, feed visibility, or subscription mechanics.
• Circumventing, disabling, or interfering with access controls, authentication mechanisms, or security features of the Platform.
• Scraping, crawling, or harvesting data from the Platform without express written authorisation from Buzzably Limited.
• Uploading, transmitting, or distributing malware, viruses, ransomware, or any other malicious code or software.
• Creating multiple accounts to evade bans, suspensions, or enforcement actions taken against a previous account.

12. Intellectual Property & Copyright

All intellectual property rights in the Platform itself — including but not limited to the Buzzably branding, logos, trademarks, software, source code, user interface design, and proprietary algorithms — are and shall remain the exclusive property of Buzzably Limited. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Platform as permitted herein.

If you believe that Content on the Platform infringes your copyright, you may submit a copyright complaint to legal@buzzab.ly. Your notice must include: (a) a description of the copyrighted work you claim has been infringed; (b) the URL or location of the allegedly infringing Content on the Platform; (c) proof of your ownership or authorisation to act on behalf of the copyright owner; and (d) a declaration made in good faith that the use of the material is not authorised by the copyright owner, its agent, or the law.

We will process copyright complaints in accordance with the Hong Kong Copyright Ordinance (Cap. 528) and provide a counter-notification process for Users whose Content has been removed. Upon receipt of a valid counter-notification, we may restore the Content unless the complainant initiates legal proceedings within the prescribed period.

13. Trust & Governance

The Platform maintains a transparent governance framework designed to uphold content integrity, protect Users, and ensure fair treatment. Trust signals, including category-specific Trust Scores, are batch-computed periodically and displayed on Creator profiles as informational indicators only.

Content moderation is conducted in accordance with these Terms. Users may report Content that they believe violates these Terms through the Platform's reporting tools. Reported Content is reviewed by the governance team, which may take actions including issuing warnings, restricting Content visibility, or removing Content entirely.

Users who are subject to moderation actions may appeal through the governance system. Appeals are reviewed independently, and outcomes are communicated to the User in writing. Buzzably Limited reserves the right to remove any Content that violates these Terms without prior notice in cases of severe or urgent violations.

14. Privacy & Data Collection

Buzzably Limited is committed to the minimisation of personally identifiable information (PII) collection. We collect only the data strictly necessary to operate and improve the Platform.

Our data processing practices comply with the Hong Kong Personal Data (Privacy) Ordinance (Cap. 486) ("PDPO") as our primary regulatory framework. For international Users, we apply GDPR-baseline protections as a minimum standard. Cookie consent is managed through a Consent Management Platform (CMP). We do not engage in behavioural tracking, do not share data with data brokers, and use only pseudonymised analytics.

Users exercising their right to erasure will have their personal data processed via crypto-shredding — the encryption keys for their data are permanently destroyed, rendering the data irrecoverable. For comprehensive details on our data practices, please refer to our Privacy Policy.

15. Third-Party Services

The Platform integrates with the following third-party services to deliver its core functionality:

• Stripe — Payment processing, subscription billing, creator payouts (Stripe Connect), and identity verification (Stripe Identity).
• Supabase — Backend infrastructure, database hosting, authentication services, and real-time data synchronisation.
• Vercel — Application deployment, edge network hosting, and serverless function execution.
• Novu — Multi-channel notification delivery (email, in-app, push notifications).
• OpenAI — AI model inference for Draft Assistant, Voice DNA, Editorial Personas, and autonomous agent workflows.
• Inngest — Durable workflow orchestration for background jobs, scheduled tasks, and event-driven processing.

Buzzably Limited does not store raw credit card numbers or sensitive payment credentials. All payment data is processed and stored exclusively by Stripe in compliance with PCI DSS standards. Each third-party service is subject to its own terms of service and privacy policy, which Users are encouraged to review independently.

16. Account Deactivation & Termination

You may deactivate your account at any time through the Platform's account settings. Upon deactivation, a mandatory thirty (30) day holding period applies for any pending creator payouts to allow for the resolution of disputes and chargebacks.

During the deactivation process, your PII will be masked (pseudonymised) to prevent identification while retaining necessary audit records. A soft deletion period of thirty (30) days follows deactivation, during which your account may be reactivated upon request. After the soft deletion period expires, your account and associated data will be permanently processed in accordance with our data retention and erasure policies.

Buzzably Limited reserves the right to suspend or terminate any account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other Users, or is otherwise objectionable. Users subject to suspension or termination may appeal through the governance system described in Section 13.

17. General Provisions

Limitation of Liability. Buzzably Limited operates as a technology infrastructure provider and not as a publisher, financial advisor, or content guarantor. To the maximum extent permitted by law, Buzzably Limited, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from or related to your use of the Platform. Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Buzzably Limited in the twelve (12) months preceding the claim.

Creator Liability. Each Creator bears sole responsibility and liability for the Content they publish through the Platform. This includes, without limitation, any legal claims, regulatory actions, or damages arising from the accuracy, legality, or appropriateness of their published Content, whether or not such Content was produced with the assistance of AI Services.

AI Output Disclaimer. AI-generated outputs are provided on an "as is" basis without warranties of any kind, whether express or implied. Buzzably Limited does not warrant that AI outputs will be accurate, complete, timely, reliable, or free from errors or bias.

Service Availability. The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation and may perform maintenance, updates, or modifications at any time.

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms.

Dispute Resolution. In the event of a dispute arising from these Terms, the parties agree to first attempt resolution through good-faith negotiation for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, either party may submit the matter to the exclusive jurisdiction of the courts of Hong Kong.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Entire Agreement. These Terms, together with the Privacy Policy and any other policies or guidelines published on the Platform, constitute the entire agreement between you and Buzzably Limited regarding your use of the Platform. These Terms supersede all prior agreements, understandings, and representations, whether written or oral.

18. Precedence of English Version

These Terms are originally drafted in the English language. In the event of any discrepancies or inconsistencies between the English version and any translated or localised versions, the English version shall prevail and take precedence.
